Terms & Conditions

These Terms & Conditions (“Terms”) apply to all services provided by BLOEM Agency (“BLOEM”, “we”, “us”, or “our”) to the client (“you” or “your”).
By purchasing our services, submitting an order, subscribing to a monthly package, or otherwise engaging BLOEM Agency, you acknowledge that you have read, understood and agreed to these Terms.
1. Our Services
BLOEM Agency provides social media management, content creation, social media strategy, social media consulting, audits and related digital marketing services.
The exact services included in your package will be those described on the BLOEM Agency website, in your selected package, proposal, invoice or other written agreement between BLOEM and you.
Services may include, depending on your selected package:
- Social media strategy
- Content planning
- Content creation
- Social media management
- Instagram management
- Caption writing
- Content scheduling
- Community engagement
- Social media optimisation
- Analytics and reporting
- Strategic recommendations
- Other services specifically agreed upon in writing
BLOEM reserves the right to reasonably adapt the delivery of services where necessary to reflect changes in social media platforms, trends, algorithms, features or best-practice recommendations.
2. Monthly Social Media Management Packages
Our monthly social media management packages are provided on a recurring subscription basis.
The monthly fee displayed when you purchase your selected package is the amount payable for each billing period.
Your first payment is charged at the time of purchase. Subsequent payments will be automatically charged to your nominated payment method on a monthly basis through our payment provider, Stripe.
3. Minimum Commitment
All BLOEM monthly social media management packages have a minimum initial commitment of three (3) months, unless otherwise agreed in writing.
By purchasing a monthly package, you agree to remain subscribed for the full initial three-month commitment period and to pay all monthly fees due during that period.
The three-month commitment begins on the date your subscription commences.
Cancellation requests made during the initial three-month commitment period do not remove your obligation to pay the remaining monthly fees for that initial commitment period, except where otherwise required by Australian Consumer Law or agreed by BLOEM in writing.
After the initial three-month commitment has been completed, your subscription will continue on a month-to-month basis unless cancelled in accordance with these Terms.
4. Subscription Payments
Monthly subscription payments are processed securely through Stripe.
By subscribing to a BLOEM monthly package, you authorise BLOEM and its payment provider to automatically charge your nominated payment method for:
- The initial payment due at checkout; and
- Each subsequent monthly payment for the duration of your subscription.
You are responsible for ensuring that your payment details remain accurate and that sufficient funds are available when payment is due.
If a payment fails, BLOEM may pause services until the outstanding amount has been paid.
BLOEM may also charge reasonable costs associated with recovering overdue amounts where permitted by law.
5. Price Changes
BLOEM reserves the right to change the price of its services for future subscriptions or after the initial commitment period.
If the price of your existing package is changed, we will provide reasonable notice before the new price takes effect.
Price changes will not affect payments that have already been processed.
6. Cancellation
During The Initial Three-Month Commitment
Your monthly package cannot ordinarily be cancelled during the initial three-month commitment period.
If you request cancellation during this period, the remaining fees for the initial commitment remain payable, except where otherwise required by Australian Consumer Law or agreed by BLOEM in writing.
After The Initial Three-Month Commitment
Once the initial three-month commitment has been completed, you may cancel your subscription by providing written notice to BLOEM.
Cancellation will take effect at the end of the applicable billing period, unless otherwise agreed in writing.
You will remain responsible for any outstanding payments due up to the effective cancellation date.
7. One-Off Social Media Audit — $550
The BLOEM Social Media Audit is a one-time service priced at $550 AUD.
The audit includes an assessment of your social media presence and may include recommendations relating to areas such as:
- Profile optimisation
- Branding
- Content
- Positioning
- Audience
- Engagement
- Strategy
- Growth opportunities
- Conversion opportunities
- Overall social media presence
The exact scope and deliverables of the audit will be those described on the BLOEM website or otherwise agreed with you in writing.
The $550 audit fee is payable in full at the time of purchase.
The audit is a one-off service and does not create an ongoing subscription or recurring payment.
Once the audit has been completed and delivered, additional work or implementation services are not included unless separately purchased or agreed in writing.
8. Audit Results And Recommendations
BLOEM provides strategic recommendations based on our professional assessment of your social media presence at the time the audit is conducted.
We do not guarantee specific results, including:
- A particular number of followers
- Increased engagement
- Increased sales
- Increased revenue
- Viral content
- Increased reach
- Specific algorithmic performance
- Specific business or marketing outcomes
Social media performance is affected by factors outside our control, including platform algorithms, competition, audience behaviour, market conditions and changes made by third-party platforms.
9. Client Responsibilities
To provide our services effectively, you agree to:
- Provide accurate and timely information;
- Provide BLOEM with necessary access to relevant social media accounts, platforms and assets;
- Provide logos, brand assets, photographs, videos and other materials required for content creation;
- Respond to requests for information or approvals within a reasonable timeframe;
- Ensure that information supplied to BLOEM is accurate;
- Inform BLOEM of any relevant brand guidelines, legal requirements or restrictions;
- Maintain appropriate access and permissions for social media accounts.
Delays caused by missing information, unavailable account access or delayed approvals may affect the timing of content delivery.
BLOEM is not responsible for delays resulting from circumstances outside our reasonable control.
10. Content Approval
Where content requires client approval, BLOEM will provide content for review through the agreed communication or approval process.
You are responsible for reviewing content and providing feedback or approval within a reasonable timeframe.
Once content has been approved by you, you are responsible for ensuring that any factual information, offers, prices, claims or other business-specific information contained in the approved content is accurate.
BLOEM may rely on your approval as confirmation that the content is suitable for publication.
11. Revisions
Reasonable revisions may be included depending on your selected package.
Revisions must relate to the agreed scope of the service.
Requests that substantially change the original brief, require significant additional work or fall outside the agreed package may incur an additional fee.
Any additional fees will be communicated before the additional work is undertaken.
12. Social Media Platforms
BLOEM works with third-party platforms including, but not limited to, Instagram, Facebook, TikTok and other social media platforms.
We do not control these platforms and cannot guarantee uninterrupted access, functionality, reach, engagement or performance.
BLOEM is not responsible for:
- Platform outages;
- Algorithm changes;
- Account restrictions;
- Account suspensions;
- Changes to platform features;
- Changes to advertising or content policies;
- Loss of reach or engagement;
- Technical issues caused by third-party platforms.
We will take reasonable care when managing your accounts but cannot guarantee that third-party platforms will operate as expected.
13. Account Access And Security
You remain the owner of your social media accounts and are responsible for maintaining appropriate ownership and security.
You agree not to share unnecessary passwords or login information where platform-approved access methods are available.
BLOEM will use reasonable care when accessing and managing your accounts.
When our services end, BLOEM will cease accessing your accounts unless otherwise agreed.
14. Intellectual Property
Unless otherwise agreed in writing, materials specifically created by BLOEM for you as part of your paid services may be used by you for your business and social media marketing purposes.
BLOEM retains ownership of its pre-existing materials, systems, templates, processes, strategies, frameworks, know-how and intellectual property used to provide the services.
Third-party materials, including stock imagery, fonts, music, software, templates or other licensed assets, remain subject to their respective licence terms.
You are responsible for ensuring that any materials you provide to BLOEM are owned by you or that you have the appropriate rights and permissions for BLOEM to use them.
15. Portfolio And Marketing Use
Unless you notify us in writing that you do not consent, BLOEM may showcase completed work created for you as part of our portfolio, website, social media or marketing materials.
We will not disclose confidential business information for marketing purposes without your permission.
If you do not wish your work or business to be featured, please notify BLOEM in writing.
16. Confidentiality
Both parties agree to keep confidential any non-public business, financial, strategic or personal information received from the other party in connection with the services.
This obligation does not apply to information that:
- Is already publicly available;
- Becomes publicly available through no breach of these Terms;
- Was lawfully known before disclosure; or
- Is required to be disclosed by law.
17. Refunds
Because BLOEM services involve time, expertise and work performed specifically for individual clients, payments are generally non-refundable once services have commenced.
For monthly subscriptions, payments already made for a billing period are generally non-refundable.
For the $550 Social Media Audit, the payment is generally non-refundable once work on the audit has commenced.
Nothing in these Terms excludes or limits any rights you may have under the Australian Consumer Law that cannot legally be excluded.
18. Australian Consumer Law
Nothing in these Terms is intended to exclude, restrict or modify any rights, guarantees or remedies available to you under the Australian Consumer Law or any other applicable law where those rights cannot legally be excluded.
Where applicable, BLOEM will comply with its obligations under Australian Consumer Law.
19. Limitation Of Liability
To the maximum extent permitted by law, BLOEM will not be liable for indirect, incidental, consequential or special loss arising from the services, including loss of profits, revenue, business opportunities, followers, engagement or data.
Nothing in these Terms excludes liability that cannot legally be excluded under applicable Australian law.
20. Events Outside Our Control
BLOEM will not be responsible for delays or inability to provide services caused by circumstances reasonably outside our control, including platform outages, internet failures, technical problems, natural disasters, government actions, illness, third-party service failures or other unforeseen circumstances.
We will make reasonable efforts to resume services as soon as practicable.
21. Communication
Our primary communication methods may include email, messaging platforms, project management platforms or other communication methods agreed between BLOEM and the client.
You are responsible for checking communications from BLOEM and responding within a reasonable timeframe where your response is required to continue the work.
22. Termination By BLOEM
BLOEM may suspend or terminate services where:
- Payments remain overdue;
- You repeatedly fail to provide required information or access;
- You engage in abusive, threatening or inappropriate behaviour;
- You request services that are unlawful or outside the agreed scope;
- Continuing the relationship would create a legal, ethical or reputational risk for BLOEM.
Where appropriate, BLOEM will provide reasonable notice before termination.
Termination does not automatically remove any outstanding payment obligations.
23. Changes To These Terms
BLOEM may update these Terms from time to time.
The version applicable to your purchase or subscription will generally be the version in effect when you agreed to these Terms, subject to any legally required updates.
24. Governing Law
These Terms are governed by the laws of New South Wales, Australia.
Any dispute will be subject to the applicable courts and laws of New South Wales, Australia, subject to any rights you may have under applicable consumer law.
25. Acceptance Of These Terms
By purchasing a BLOEM service, subscribing to a monthly package, or otherwise engaging BLOEM Agency, you confirm that:
- You have read and understood these Terms;
- You agree to be bound by these Terms;
- You understand that monthly social media management packages have a minimum initial commitment of three (3) months;
- You understand that monthly payments will be automatically charged through Stripe;
- You understand that the $550 Social Media Audit is a one-off service and payment;
- You have provided accurate information to BLOEM.
If you do not agree to these Terms, please do not purchase or subscribe to our services.
